1. INTRODUCTION

Welcome to Vestra, a real estate investment platform operated by Vestra Holdings (“Vestra”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of the Vestra website, mobile applications, and all related services (collectively, the “Platform”). By accessing or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with these Terms, you are prohibited from using or accessing the Platform.

These Terms constitute a legally binding agreement between you (“User”, “you”, or “your”) and Vestra Holdings regarding your use of the Platform. You should review these Terms carefully before engaging in any activities on the Platform. Additional terms may apply to certain services or features; such additional terms will be disclosed to you prior to your use of those services or features. In case of conflict between these Terms and any additional terms, these Terms shall prevail unless otherwise specified.

2. ELIGIBILITY AND ACCOUNT REGISTRATION

2.1 Eligibility

To use the Platform, you must:

• Be at least eighteen (18) years old or the age of majority in your jurisdiction;
• Have full legal capacity and authority to enter into binding contracts;
• Not be barred from using the Platform under any applicable law.

You represent and warrant that all information provided during registration is true, accurate, current, and complete. You agree to promptly update such information as necessary.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials (username/password) and for all activities conducted under your account. You agree not to share your credentials with third parties. Notify us immediately at support@vestraproperties.pro if you suspect unauthorized access or security breaches.

3. VESTRA PLATFORM SERVICES

3.1 Investment Services

Vestra enables Users to invest in full or fractional ownership interests in verified real estate properties listed on the Platform. Investments are subject to due diligence procedures conducted by Vestra Holdings or its partners. The availability of properties may vary based on availability of shares, jurisdictional restrictions or regulatory requirements.

Investments made through Vestra do not constitute deposits or obligations of a bank; they carry risks associated with real estate markets including but not limited to market volatility, liquidity risk, property devaluation, tenant defaults, force majeure events, changes in law/regulation/taxation policies.

3.2 Peer-to-Peer Marketplace

The Vestra peer-to-peer (P2P) marketplace allows Users to buy and sell property shares directly with other Users via a transparent trading system integrated into our Platform for already invested running property within Vestra. All transactions are subject to verification processes including anti-money laundering (AML), know-your-customer (KYC), fraud prevention checks as required by law.

Vestra reserves the right at its sole discretion to suspend/cancel/void any transaction suspected of violating these Terms or applicable regulations without liability.

P2P Marketplace Rules:

• Only Users who have previously invested in property shares via Vestra can list shares for sale.
• Buyers must meet eligibility criteria set forth herein.
• Transactions are executed at prices agreed upon by both parties within parameters established by Vestra.
• All trades are final once confirmed unless otherwise required by law.
• Fees may apply as disclosed on the Platform.
• Funds lost during p2p is not on Vestra.

3.3 Deposits & Withdrawals

Users may deposit funds into their accounts via approved payment methods as detailed on our Platform. Withdrawals are processed according to internal policies and may be subject to AML/KYC checks; processing times depend on banking partners and regulatory requirements.

3.4 Referral Rewards & Commissions

Vestra offers referral rewards programs subject to specific terms disclosed within the Platform interface. Commissions earned from referrals must comply with all relevant laws regarding solicitation/compensation in real estate transactions.

4. COMPLIANCE AND REGULATORY OBLIGATIONS

Vestra operates within a fully compliant fintech ecosystem adhering strictly to local, national, international laws governing real estate investment platforms including but not limited to securities regulations where applicable. Users agree not to use the Platform for unlawful purposes nor violate any applicable law/regulation.

You acknowledge that investments offered through Vestra may not be registered under securities laws unless explicitly stated otherwise; it is your responsibility alone to determine whether investing through Vestra is permitted under your local laws/jurisdictional requirements.

5. USER CONDUCT

By using this Platform you agree NOT TO:

• Use automated means (bots/scrapers) without express written permission;
• Post false/misleading/defamatory content;
• Attempt unauthorized access/disrupt security features;
• Engage in money laundering/fraudulent activity;
• Violate intellectual property rights belonging to Vestra Holdings or third parties;
• Circumvent/refuse compliance checks required by law;

Violation may result in immediate suspension/termination of your account without notice.

6. INTELLECTUAL PROPERTY RIGHTS

All content on this Platform—including but not limited to text, graphics, logos, software—is owned exclusively by Vestra Holdings unless otherwise indicated. You may not copy/modify/distribute/reproduce any part thereof without prior written consent except as expressly permitted herein.

7. DISCLAIMERS

THE INFORMATION PROVIDED ON THIS PLATFORM IS FOR GENERAL INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE FINANCIAL ADVICE OR AN OFFER/SOLICITATION FOR THE SALE OR PURCHASE OF SECURITIES OR OTHER ASSETS UNLESS EXPLICITLY STATED OTHERWISE. ALL INVESTMENTS INVOLVE RISK INCLUDING THE POSSIBLE LOSS OF PRINCIPAL; PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS.

NEITHER VESTRA HOLDINGS NOR ITS AFFILIATES/SUBSIDIARIES/AGENTS WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE; NOR DO WE MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE PLATFORM OR AS TO THE ACCURACY/RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE PLATFORM.

PROPERTY LISTINGS AND MARKET DATA ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND—EXPRESS OR IMPLIED—INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE/MERCHANTABILITY/FITNESS FOR A PARTICULAR PURPOSE/NON-INFRINGEMENT.

YOU EXPRESSLY AGREE THAT YOUR USE OF THIS PLATFORM IS AT YOUR SOLE RISK AND RESPONSIBILITY. YOU SHOULD CONSULT INDEPENDENT LEGAL/TAX/FINANCIAL ADVISORS BEFORE MAKING ANY INVESTMENT DECISIONS.

NO STATEMENT ON THIS PLATFORM SHALL BE INTERPRETED AS A GUARANTEE OR PROMISE OF RETURNS OR PROFITS FROM ANY INVESTMENT ACTIVITY UNDERTAKEN HEREIN.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

UNDER NO CIRCUMSTANCES SHALL VESTRA HOLDINGS OR ITS OFFICERS/DIRECTORS/EMPLOYEES/AGENTS/AFFILIATES BE LIABLE FOR ANY DIRECT/INDIRECT/SPECIAL/PUNITIVE/INCIDENTAL/CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PLATFORM INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS/DATA/BUSINESS OPPORTUNITY/GOODWILL EVEN IF ADVISED IN ADVANCE OF SUCH POSSIBILITY.

YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SERVICE IS TO STOP USING IT IMMEDIATELY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS ON LIABILITY; SOME LIMITATIONS ABOVE MAY NOT APPLY TO YOU.

9. INDEMNIFICATION

You agree at your own expense to indemnify/hold harmless Vestra Holdings, its officers/directors/employees/agents from claims/damages/liabilities/costs arising out of:
(a) Your breach/misuse/fraudulent activity related directly or indirectly with these Terms;
(b) Your violation of applicable laws/regulations;
(c) Content submitted/transmitted through your account;

10. MODIFICATIONS & TERMINATION

We reserve right at our sole discretion at any time without notice/liability:
(a) To modify/update/amend these Terms—changes will be posted here with updated effective date; continued use after changes constitutes acceptance thereof;
(b) To suspend/restrict/block access for reasons including but not limited violation/breach/non-compliance with these Terms/laws/regulations;

11. GOVERNING LAW & DISPUTE RESOLUTION

These Terms shall be governed exclusively by laws applicable in Aurora, Colorado (United States), without regard for conflict-of-law principles. Any disputes arising hereunder shall be resolved exclusively through binding arbitration/mediation as specified by us unless prohibited by law.
